Terms of Service for the Traffic Drop Assessment tool
Thank you for using our tool to connect your Google Search Console (GSC) account and analyze potential impacts of Google updates on your website. By accessing or using our tool, you agree to be bound by the following terms and conditions (the “Terms”).

These Terms apply to all users of the tool. By accessing or using the tool, you agree to be bound by these Terms. If you do not agree to these Terms, you should not access or use the tool.
- Changes to the Terms
We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will provide notice through the tool or by other means. Your continued use of the tool after any such change constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the tool.

- Intellectual Property

We will not be liable for any damages of any kind arising from the use of the tool, including but not limited to direct, indirect, incidental, punitive, and consequential damages.

- Indemnification
You agree to indemnify and hold us and our affiliates, officers, agents, and employees harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your use of the tool, your violation of these Terms, or your violation of any rights of another.
- Governing Law
These Terms and your use of the tool will be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without giving effect to any principles of conflicts of law.
- Dispute Resolution
Any dispute arising out of or relating to these Terms or the tool will be resolved through binding arbitration in accordance with the International Chamber of Commerce’s International Court of Arbitration. The arbitration will be conducted in Toronto, Ontario, Canada.
- Miscellaneous
These Terms constitute the entire agreement between you and us with respect to the tool. If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent possible, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. The section titles in these Terms are for convenience only and have no legal or contractual effect. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights or obligations under these Terms, in whole or in part, without your consent.
These Terms shall not create any partnership, joint venture, employment, or agency relationship between you and us.
If we do not act to enforce a breach of these Terms, that does not mean that we have waived our right to do so in the future.
The provisions of these Terms that by their nature should survive termination shall survive termination, including without limitation, the provisions regarding ownership, limitation of liability, indemnification, governing law, and dispute resolution.
